Welcome to Heatup ("we," "our," or "us"). By downloading, accessing, or using the Heatup mobile application ("App") or website (findheatup.com), you agree to be bound by these Terms of Service ("Terms").

These Terms form a legally binding agreement between you and Heatup. If you do not agree to these Terms, please do not use our App or Services.

1. Eligibility (Who Can Use Heatup)

You may only use Heatup if you meet the following criteria:

Age: You must be at least 18 years old to create an account and use the App. By using the App, you confirm that you are 18 or older.
Status: You are not a convicted sex offender or required to register as a sex offender in any jurisdiction.
Capacity: You have the full legal capacity to enter into a binding contract in your country of residence.
Previous Bans: You have not been previously banned or removed from Heatup by us.

By creating an account, you represent and warrant that you meet all the above requirements.

2. Your Account

Accuracy: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
Security: You are solely responsible for maintaining the confidentiality of your login credentials. You are fully responsible for all activities that occur under your account.
One Account: You are permitted to have only one active Heatup account. Creating multiple accounts (or "clones") is strictly prohibited.
No Sharing: You may not share your account or password with anyone.

If you suspect unauthorized use of your account, you must notify us immediately at joyltdcompany@gmail.com.

3. Your Rights & License to Use the App

Subject to your compliance with these Terms, Heatup grants you a limited, non-exclusive, non-transferable, revocable license to:

Download and install the App on your personal device.
Access and use the App for your personal, non-commercial use (i.e., finding dates).

This license does not permit you to copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the App.

4. User Conduct (The "Heatup Code of Conduct")

We built Heatup to be a safe, respectful space. You agree that you will not engage in the following prohibited activities:

a. Harassment & Abuse

Harassing, threatening, intimidating, or stalking other users.
Sending abusive, hateful, discriminatory, or sexually explicit messages.
Using the App to bully, defame, or embarrass others.

b. Fake Profiles & Fraud

Creating a profile with false, misleading, or stolen information (catfishing).
Impersonating another person, celebrity, or brand.
Using automated scripts, bots, or third-party software to manipulate the App.

c. Explicit & Inappropriate Content

Uploading profile photos that contain nudity, pornographic material, or graphic violence.
Posting content that promotes racism, extremism, or illegal activities.

d. Commercial Use

Using Heatup for advertising, promotional purposes, or to drive traffic to external websites.
Soliciting money, donations, or financial transactions from other users.

e. Illegal Activity

Using the App to facilitate any form of illegal activity, including human trafficking or the sale of illicit substances.

Consequences: Violation of any part of this Code of Conduct may result in the immediate termination of your account, without warning or refund.

5. User-Generated Content

When you upload photos, write a bio, or send messages, you retain ownership of that content. However, by posting it, you grant Heatup a worldwide, royalty-free, sub-licensable, and transferable license to use, reproduce, modify, and display your content solely for the purpose of operating, improving, and promoting the App (e.g., showing your profile to other users).

Representation: You represent and warrant that:

You own the content you post or have the necessary permissions.
Your content does not violate the rights of any third party (including privacy and intellectual property rights).

We reserve the right to remove or moderate any content we deem inappropriate at our sole discretion.

6. Subscription and Payments

Heatup offers certain premium features ("Subscriptions") that require payment.

Billing: All payments are processed through the Apple App Store or Google Play Store. Their payment terms apply to your purchase.
Auto-Renewal: Subscriptions automatically renew unless auto-renew is turned off in your device's account settings at least 24 hours before the end of the current period.
Refunds: We do not offer refunds for unused subscription time. Please refer to the App Store or Google Play refund policies for specific billing disputes.
Price Changes: We reserve the right to change our subscription prices. We will notify you of price changes in advance.
UK Users: In accordance with UK consumer law, you have a statutory right to cancel your subscription within 14 days of purchase (the "cooling-off period"). To exercise this right, please contact us at joyltdcompany@gmail.com.
EU Users: Under EU Directive 2023/2673, you have the right to withdraw from a distance contract within 14 days without giving any reason. We provide a mandatory digital withdrawal function for consumer contracts.

7. Termination and Account Deletion

By You: You may delete your account at any time via the "Settings" menu within the App. This will permanently delete your profile, photos, and chat history.

By Us: We reserve the right to suspend or permanently terminate your account at our sole discretion, without notice or liability, for:

Violation of these Terms.
Conduct that harms other users or the integrity of the platform.
Extended periods of inactivity.

Upon termination, your license to use the App will immediately cease.

8. Disclaimer of Warranties

YOUR USE OF HEATUP IS AT YOUR SOLE RISK. The App is provided on an "AS IS" and "AS AVAILABLE" basis.

No Guarantees: We do not guarantee that you will find a match, date, or relationship using Heatup.
User Verification: While we employ moderation tools, we do not conduct criminal background checks on users. Heatup is not responsible for the conduct (online or offline) of any user. Always use the safety tips provided on our site when meeting people in person.
Technical Issues: We do not warrant that the App will be uninterrupted, timely, secure, or error-free.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HEATUP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages.
Any loss of profits, data, or goodwill.
Personal injury or property damage resulting from your interactions with other users (including in-person meetings).

Our total liability to you for any claim arising out of or relating to these Terms or the App shall not exceed the amount you paid us (if any) in the last twelve (12) months.

UK and EU Users: Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be limited or excluded under applicable law.

10. Governing Law & Dispute Resolution

These Terms and your use of the App are governed by the laws of India, without regard to its conflict of law provisions. However, we recognize that users in different jurisdictions may have additional rights under their local laws.

a. For Users in the United States

California Users: If you are a California resident, you have specific rights under the California Consumer Privacy Act (CCPA). We do not sell your personal information. For more details, please refer to our Privacy Policy.
Dispute Resolution: Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). You agree that you may bring claims against Heatup only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
Governing Law: For US users, these Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

b. For Users in the United Kingdom

Data Protection: We process your personal data in accordance with the UK GDPR and the Data Protection Act 2018. You have the right to access, correct, delete, and port your data.
Online Safety: Heatup complies with the Online Safety Act, including requirements to prevent cyberflashing and protect users from harmful content. We have implemented age assurance measures to prevent under-18s from accessing the App.
Subscription Cancellation: UK users have a statutory 14-day cooling-off period for distance contracts. You may cancel your subscription within this period for a full refund.
Dispute Resolution: Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted in London, England.
Governing Law: For UK users, these Terms shall be governed by the laws of England and Wales.

c. For Users in the European Union

Data Protection: We process your personal data in accordance with the General Data Protection Regulation (GDPR). You have the right to access, correct, delete, and port your data, and to withdraw consent at any time.
Lawful Basis: We rely on contractual necessity and consent as lawful bases for processing your personal data. Consent must be freely given, specific, informed, and unambiguous.
Withdrawal Function: Under EU Directive 2023/2673, we provide a mandatory digital withdrawal function for consumer contracts. You may withdraw from your subscription within 14 days of purchase without giving any reason.
Dispute Resolution: Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC). The arbitration shall be conducted in Dublin, Ireland.
Governing Law: For EU users, these Terms shall be governed by the laws of the Republic of Ireland.

d. For All Other International Users

Data Protection: We process your personal data in accordance with applicable data protection laws in your jurisdiction. We take steps to ensure that your data is treated securely and in accordance with this Privacy Policy.
Dispute Resolution: Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the International Centre for Dispute Resolution (ICDR). The arbitration shall be conducted in a neutral location mutually agreed upon by the parties.
Governing Law: For international users, these Terms shall be governed by the laws of India, without regard to its conflict of law provisions.

11. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect (via in-app notification or email).

By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms.
